In this Dissertation, we will study how the progress of computational technology, internet, and the monetization of data are challenging legal and economic experts to understand the characteristics and the dynamic of our society based on personal information, aiming to develop methods to mitigate abuses, mainly the economic ones. Through the analysis of real cases of economic abuse examined by the competition and data protection authorities, it will be clear that the abuse of processing data may cause heavy damages, to owners of data, as individuals or consumers. Thus, we also will study how personal data result in economic power in the actual market and how the asymmetry of power allows market domination practices. Finally, we will see how CADE (The Brazilian Administrative Council for Economic Defense) and the recentlyenacted Law 13.709/2018 (Brazilian General Data Protection Act) contributes to the fight against economic abuses, mainly market domination practices based on the processing of personal data.

It is expected that business combination (CN) processes generate synergy. This expectation is reflected in the share price of the participating companies - acquirer and acquirer - around the announcement of the event. Among the theories that identify reasons for value creation in CNs, we highlight the market power that predicts that the oligopolization effect of the CN generates advantages such as scale gain, increase the bargaining power of the company against its suppliers and customers, as well as enables the optimization of investments. On the other hand, the theory of debt co-insurance foresees that the unification of the cash flows of the companies involved in an CN ends up reducing its risk of insolvency, increases its capacity of indebtedness and facilitates the obtaining of credit. However, most of the studies that verify the creation of value in the CNs do not point out the origin of this synergy that can be operational or savings achieved through investment reduction, or even financial - if derived from tax benefits. The purpose of this study is to measure the possible existence of synergies arising from CN processes, as well as to identify their type - whether operational or financial. These verifications occur by means of a test of difference of means between the value of the projected individual cash flow or capital cash flow (CCF) of companies A and T before the CN with that of the combined company (TA) after that event. Afterward, it did not identify total synergy statistically significant, neither operational nor financial synergy. However, analyzing operational synergy it identifies the margin increase of 8.19% and the investment increase of 3.14% with 5% and 10% of significance respectively. Subsequently, an event study is performed to identify abnormal return (AR) values and cumulative abnormal return (CAR). The AR presents a median of + 0.14% in the combined (A + T) with 10% of significance, being AR of 0.43% of the acquired (T) and 0.20% of the acquirer (A) with 1% of significance and not significant respectively. On the other hand, the CAR presents result of 7.15% for combined (A + T) with 5% of significance, being CAR of 15.18% in the acquired (A) and 10.54% in the acquirer (T), with 1% of significance and 10% significance respectively. The sample considers 14 companies belonging to the emergingmarket countries - except for non-financial and utilities - that carry out CNs between 2008 and 2018. The data source is Bloomberg .

The challenges that are imposed on the planet in the beginning of the twenty first century require a new overlook by the organizations about the way companies work and the consequences of their activities, as pointed out by the authors from different areas of human and social sciences. Organizations act daily through their stakeholders, whose relations happen in interactions mediated by language, which can be strategic or communicative, aiming to obtain the necessary resources for their participation in competitive environments. One of the aspects that is underlying the actions of social entities are values. Values Related to Organizational Competion (VROC) are defined as beliefs, socially constructed, that are significant for an individual or group, which consist in principle-goals that rule the social actions between stakeholders, aiming to obtain resources in a competitive environment. This study seeks to understand how Values Related to Organizational Competition (VROC) are reproduced in interactions between stakeholders of organizations that act in market economy. The research was performed under the approach of sociological social psychology, through the approach of symbolic interactionism, in one of the biggest associated companies to the project of economy of communion (EoC), in Brazil. Configuring a case study, with exploratory-descriptive-explicative nature, the data were collected through interviews, participant observation, naturally occurring talk and texts; and the analysis and interpretation of results were inspired in the pragmatic and hermeneutics. Vis-à-vis the theoretical approach, the results suggested the Values Related to Organizational Competition (VROC) as a result of the search for dynamic balance between the founder s visions of the world the world as it should be and the world as it is and the necessities of the organization, at times privileging strategic actions, and at other times based in understanding. The VROC were defined in function of different stakeholders, revealing anti-values and, at the same time that they are produced in interactions, they reproduce the cultural aspects of societies in which the stakeholders take part.

Tendo em vista, os problemas da mobilidade nas grandes metrópoles mundiais, este trabalho tem por objetivo principal, o estudo dos espaços monofuncionais e multifuncionais nas cidades, at ravés das suas funções e utilizações, visando em primeiro lugar as pessoas. Para isso, também são abordadas as noções de densidade demográfica nas grandes cidades contemporâneas, e quais as consequências do fenômeno da superpopulação, que atingem direta e indiretamente as pessoas que vivem, trabalham e se divertem nas metrópoles. Dentro ainda das questões de densidade urbana, são apresentados algumas mudanças em relação ao modus vivendi da sociedade, e modelos de planejamento da cidade, com destaque para o Novo Plano Diretor Estartégico de São Paulo e o conceito de Cidade Compacta do ar quitetp Richard Rogers. Mediante essa análise, é exposto o modelo de edificação híbrida, como forma de solução para os desafios da cidade, em relação à mobilidade e diversos outros fatores importantes da ci dade. Por fim, é apresentado neste trabalho o objeto de projeto, desenvolvido no decorrer de um ano: Um edifício híbrido, localizado na zona oeste de São Paulo, no bairro da Vila Olímpia, com a aplicação na prática dos conceitos estudados, para a conformação de aspectos que impulsionam a dinâmica e a vitalidade urbana

O mercado aeronáutico sofre constantes mudanças que abrangem tanto questões estritamente ligadas à tecnologia quanto temas de natureza jurídica e econômica, fundamentais para a viabilização da atividade de transporte aéreo, que requer significativos investimentos que nem sempre podem ser realizados exclusivamente pelas companhias aéreas. O alto custo do transporte aéreo e o valor astronômico das aeronaves e motores foram fatores que influenciaram no crescimento do mercado de financiamento e arrendamento de equipamentos aeronáuticos. É natural que operações de financiamento, sobretudo aquelas que envolvem quantias significativas, exijam a constituição de garantias como meio de proteger os financiadores ou proprietários dos equipamentos de eventuais inadimplementos hnanceiros incorridos pelas companhias aéreas. No Brasil, as garantias sobre aeronaves e motores são normalmente constituídas sobre a forma de hipoteca ou alienação fiduciária. Contudo, uma nova modalidade de garantia surgiu após a Convenção da Cidade do Cabo, internalizada no sistema jurídico brasileiro após a promulgação do Decreto n" 8.008, de 15 de maio de 2013. Referida Convenção, embora tenha sido formalmente aplicada no Brasil só a partir de 2013, foi criada em 2001 após amplo período de discussão envolvendo Estados e agentes do setor preocupados com o enorrne abismo jurídico existente no tocante às diferentes regras para a constituição de garantias que cada país adotava. Considerando que as aeronaves e motores são equipamentos de alto valor e que estão sempre em constante movimentação, decidiu-se criar um sistema padronizado de garantias válidas em todos os países que aderissem aos termos da Convenção. Este trabalho tem como principal objetivo avaliar o contexto que culminou na criação da Convenção, os requisitos para constituição de garantias internacionais e garantias convencionais previstas nos diplomas legais brasileiros anteriores ao Decreto n'8.008/2013 e eventuais aspectos que possam influenciar na validade das garantias internacionais no Brasil.

This study verified the role of intangible assets of commercial banks in developed and developing countries to obtain sustainable competitive advantage, or to testify if the higher amount of intangible assets, the greater sustainability of institutions would be. The research considered not only the superior average returns of the financial sector, which characterizes competitive advantage, but also its persistence over time that typifies sustainability. The rationale was based on the Vision Based on Resources (RBV), although the approach of several empirical researches was made toward economic sector business, generally excluding the financial sector. This study has its relevance represented by the novelty of the theme, whitch approuches the relation between Intangible Assets and the sustainable competitive advantage, specifically in banking institutions.

The Vargas Era comprises a watershed period in Brazilian historiography and, based on this premise, the function of a statesman leader, where form, content and its consequences are discussed until today, we use the thought of the Italian philosopher Giorgio Agamben to address the role of public educational policies in the historical permanence of inequalities even in the face of the institutionalization of social rights and the entry of workers into the political arena, in the polis. Agambenian thought talks about the biopolitical state, supported by the state of exception as a rule in the formation of the individual in homo sacer - naked of rights -, living or surviving on the margins of society and the polis under biopolitical actions in the control of bodies, minds and lives. The coming to power by a military coup led Getúlio Vargas to create this biopolitical state and include workers in the polis as a way to guarantee the consolidation of industrial capitalism and modernization by nationalist sentiment. In view of this historical political-economic-social context, we approach the intellectual elites aimed at guaranteeing the formation of a national system of education and educational biopolitics that would place the flags defended by what we call the Varguista project in guaranteeing the historical permanence of the society of privileges and, this, even despite important contributions such as Anísio Teixeira. These elites represented, on the one hand, Catholic conservatism and religious-politicaleconomic interests and, on the other, the innovators of the New School under the influence of Dewey liberal philosophy. From these conflicts and confrontations came laws that went to the constitutions of 1934, 1937 and 1946 and were analyzed with the intention of showing, in Aristotelian philosophy, the relationship between power and act, where, according to Agamben, the ruler is inoperative and Therefore, this project, which is not of a leader, but of the dominant classes, inside and outside the country, guarantees the dialectical materialist trajectory of the class struggle with the failures of education based on what we call the theory of the three stages of the process of failures: family, school and work that generated the national citizen, the neoliberal subjectivities and the paradox of happiness as permanence of the four capital sins - slavery, latifundium, patriarchal and patrimonialism - by José Murilo de Carvalho. The educational failure linked to the economic interests of peripheral capitalism makes this history a permanence of inequality and injustice in our country.

O presente trabalho tem como objetivo a análise da oferta pública de aquisição de ações mandatória quando da ocorrência da transferência de controle mediante alienação de participação acionária em companhias de capital aberto. Nesse sentido serão analisados, por exemplo, os artigos 254-A e 116 da Lei 6.404, de 15 de dezembro de 1976 e a Instrução da Comissão de Valores Mobiliários nº 361 de 05 de março de 2002. Dessa forma, serão definidos os conceitos de controle no direito societário brasileiro, bem como a definição de alienação de controle, propriamente dita. Será demonstrada a evolução histórica dos dispositivos que regulam a oferta pública de ações, além da definição da oferta pública inicial e de oferta subsequente, caracterizando os dois tipos de oferta possíveis no mercado de capitais brasileiro. Adicionalmente serão expostos casos concretos analisados pelo colegiado da Comissão de Valores Mobiliários, no sentido da identificação da alienação de controle que enseja a oferta pública de aquisição de ações de forma mandatória. Será concluído no sentido da análise da efetiva caracterização da transferência de controle por meio de alienação de participação acionária e qual a melhor forma de proteção aos acionistas minoritários.

Este trabalho apresenta estudos sobre jornalismo de moda, perfil jornalístico e liderança feminina para apresentar a jornalista e atual CEO das Edições Globo Condé Nast, Daniela Falcão, para construir uma perspectiva ampla de sua personalidade. A partir da fama ditadora que mulheres em grandes cargos possuem, o trabalho pretende desmistificar e apresentar a personagem de forma realista, indo em direção contrária aos mito existente em relação a fama da personagem. A metodologia utilizada foi o estudo dos mestres do jornalismo de perfil para que o resultado narrativo-descritivo fosse atingido. Com essa publicação, espera-se que a personagem torne-se conhecida por outras questões além do seu cargo de chefia.

A rede fluvial de uma cidade constitui grande parte das suas raízes. Conta a sua história, delimita seus caminhos e desenhos. É de onde a água encanada vem e muitas vezes para onde ela vai. É, portanto, a origem- da memória, do traçado, do abastecimento. Na cidade de São Paulo não seria diferente: sua rede de rios é protagonista do seu desenvolvimento. Mas como explicar então, sua configuração atual? Sua invisibilidade frente à dinâmica urbana e até mesmo ao consciente coletivo? Sua deficiência como recurso hídrico para abastecimento? Sua carência de um sistema eficiente de drenagem urbana? Sua poluição constante? Suas várzeas aleijadas, suas curvas cortadas e seus leitos afundados? Dessa maneira, a minha pesquisa está regida por esta problemática, em uma tentativa de mergulhar em todos os sentidos nas águas dos rios de São Paulo. O caminho percorrido começa pelas curvas do histórico da cidade atreladas à sua rede fluvial com um enfoque no Rio Tamanduateí; seguida pela alteração do seu curso ao longo de sua expansão e suas consequências no cenário atual. As indagações se tornam mais frequentes durante a fluidez de propostas de requalificações das águas em um panorama internacional e essa correnteza conduz à análise de arquiteturas resilientes a problemas de enchentes- a chamada arquitetura flutuante. E, por fim, chego a uma confluência: uma proposta para implantação de um projeto no Tamanduateí e suas várzeas que visa uma aproximação literal de suas águas.
